Sean Callison assists corporate clients with corporate governance, completing transactions and regulatory compliance. He is experienced in negotiating, drafting and reviewing contracts and subcontracts. Sean’s background in construction and commercial litigation helps him anticipate and avoid contract pitfalls.

Corporate Experience

In corporate legal matters, Sean assists clients through the formation and reorganization process, drafting and negotiating purchase and sale agreements, as well as conducting due diligence with respect to clients’ potential business relationships. He has managed M&A transactions for clients in a variety of industries, including agriculture, ethanol, manufacturing and gas stations/convenience stores.

Regulatory & Government Contracting

Sean has extensive local, state and federal alcohol regulatory experience, advising companies on their compliance requirements regarding ethanol, industrial alcohols and beverage alcohols. He helps clients navigate the licensing regulatory process, determining the types of licenses needed for a variety of transactions and navigating compliance questions for unique situations.

Clients navigating large development projects benefit from Sean’s knowledge regarding vendor and administrative appeals, regulatory approvals, state funding and grants, professional licensing, permitting and government contracts.

Energy Industry Transactions

Sean works regularly with stakeholders in the solar, wind and fuel energy spaces, guiding clients through developing, financing and purchasing deals.
