Jerome Borden is a corporate lawyer who guides clients through complex transactions, including mergers and acquisitions and capital markets transactions, and advises clients on corporate governance, securities regulation and compliance matters.
Mergers & Acquisitions
Jerome has represented publicly and privately held companies in mergers and acquisition. He has represented buyers and sellers in mergers, stock and asset-based transactions.
Capital Markets Transactions
Jerome has advised issuers and investors in public and private offerings and other capital-raising transactions. He has represented securities issuers in public offerings and private placements, including private investment in public equity (PIPE).
Securities Regulation & Corporate Governance
Jerome has represented public companies in ongoing compliance with securities regulations, including SEC reporting, securities exchange rules, and corporate governance matters. He has also advised public and private companies on general corporate matters, including corporate governance, contract negotiation, and other transactional matters.
Past Experience
Before joining Faegre Drinker, Jerome was a business law associate with a Minneapolis firm, where he practiced principally in the areas of mergers and acquisitions, securities regulation, private equity, start-up entity formation and emerging growth financing, and general corporate law.
Prior to embarking on his legal career, Jerome served as a captain in the United States Marine Corps, where he served as a Marine Officer Instructor for the Naval Reserve Officers Training Corps at Iowa State University, and as a platoon commander and company executive officer in 2nd Battalion, 4th Marine Regiment.
