Overview

Mustafa Almusawi advises clients on investment management matters, focusing on issues under the Investment Company Act of 1940. He counsels registered investment companies through the registration and formation process, prepares securities filings, negotiates exemptive relief orders with the U.S. Securities and Exchange Commission (SEC), and advises boards of directors on the complex regulatory and corporate governance landscape.

Mustafa provides counsel on all fund formats, with an emphasis on alternative closed-end funds, including interval funds, tender offer funds, and business development companies (BDCs) at the forefront of private equity and private credit strategies.

He also represents registered investment advisers subject to federal exams, investigations and enforcement actions.

Pro Bono

Mustafa maintains a broad and successful pro bono practice. Select client results include settling significant tax debts with the Internal Revenue Service for taxpayer deficiencies; defending tenants against eviction and achieving case dismissals in the Landlord and Tenant Branch of D.C. Superior Court; assisting with numerous amicus curiae briefs for death-sentenced litigants, which led to the reversal of their convictions; drafting last wills and testaments and living wills for senior residents of Washington, D.C.; and supporting individuals seeking asylum in the United States.
