Beyond Stockholder vs. Shareholder: A Comparison of Pennsylvania and Delaware Corporate Law


Partner Beth Diffley is teaching “Beyond Stockholder vs. Shareholder: A Comparison of Pennsylvania and Delaware Corporate Law” at Business Law Institute 2019, the annual program of the Pennsylvania Bar Institute (PBI) in Philadelphia on Thursday, November 21, 2019.

The Delaware General Corporation Law and the Pennsylvania Business Corporation Law differ in several important ways, as do the associated judicial decisions and regulatory implications of each. Both new businesses choosing a jurisdiction of formation and existing businesses assessing the implications of their domicile and ongoing transactions can benefit from evaluating the distinctions between these bodies of law. This seminar discusses key differences between Delaware and Pennsylvania corporate laws, and gives practical guidance for companies located in either jurisdiction.

Business Law Institute 2019 begins this day with a keynote address by former Pennsylvania Governor Edward G. Rendell. The Institute allows participants to design their own programs, earn up to 12 CLE credits in two days and have ample time to network with colleagues. Besides Beth’s seminar on Pennsylvania and Delaware corporate law, the sessions include updates on employment and labor law, corporate litigation, privacy and data security, compliance, ADR, contract administration, closely held businesses, fintech and ethics.
