Software Firm Defends Against Breach of Fiduciary Duty Claims

A software firm, specializing in data aggregation, and its board defended against direct and derivative claims asserting that the board breached its fiduciary duties in connection with allegedly self-interested transactions. Oderah Nwaeze represented the firm, and the Delaware Court of Chancery dismissed a majority of the claims.
