Overview

Joseph Seiler is a corporate and securities lawyer with nearly 40 years of experience in financings, securities offerings, and merger and acquisition transactions. These transactions have included public and private securities offerings, bank and private note financings, mergers and acquisitions, asset purchases and sales, restructurings and private equity matters, both domestically and internationally.

Joe also provides general corporate, partnership and securities law advice to clients on a regular basis, and he has represented corporations in matters involving U.S. Securities and Exchange Commission (SEC) investigations and compliance actions.

In addition, from 2015 through January 2020, Joe served as general counsel of Drinker Biddle & Reath LLP, and he continues to provide advice to the firm as senior deputy general counsel and to third parties with respect to issues relating to the rules of professional conduct and law firm legal matters.

Mergers and Acquisitions Experience

Joe has represented a wide range of companies in securities offerings, financing and M&A matters. Recent transactions include:

  • Representation of Dover Motorsports, Inc. in connection its sale to Speedway Motorsports, LLC.
  • Representation of Citrus and Allied Essences Ltd. and Trilogy Essential Ingredients Inc. in connection with the purchase of the assets of Medallion International Inc.
  • Representation of Dover Downs Gaming & Entertainment, Inc., in connection with its merger with Twin River Worldwide Holdings, Inc.
  • Representation of Cascade Water Services, Inc., in connection with its sale to Ecolab, Inc.

Previous Experience

Joe was a law clerk to the Honorable Max Rosenn of the U.S. Court of Appeals for the Third Circuit. Prior to law school, he worked for three years as a newspaper reporter.
