Overview

Allison Seeley focuses her practice on counseling financial institutions on corporate trust transactions, with a concentration on structured finance. Allison’s clients benefit from her in-house and transactional management experience at two large financial institutions, which lets her provide a broad blend of business understanding and client-focus, along with legal acumen.

Corporate Trust Transactions

Allison represents corporate trust clients on front-end transactions in their roles as indenture trustee, owner trustee, paying agent, calculation agent, securities intermediary, account bank, bailee and custodian. She has wide-ranging experience advising on complex agreements, including trust and agency, custodial and related agreements. Allison partners with clients to identify their needs and find creative approaches to resolving issues and minimizing risk. She especially enjoys implementing and continuing to improve processes associated with transactional reviews to further enhance her client’s corporate trust transactions.

Trustee Services

On a monthly basis, Allison leads the front-end transactional review for a client in its role as trustee, as part of the Ginnie Mae Multiclass Securities Program, with new issuances totaling in the billions of dollars. Allison also regularly assists a client as owner trustee and indenture trustee in various programmatic asset-backed securities deals. Allison provides ongoing support for a large corporate trust client’s document custody division, by providing transactional support to facilitate the fast-paced nature of the buying and selling of mortgage loans. Allison has previously worked with clients to create, implement, and enhance document standards and related policies, procedures, and form agreements for various trustee, custodian, and agency roles.

Allison has also advised clients on multifaceted regulatory, compliance, information security and other business risk issues, when she was in-house.

Personal Interests

Outside the office, Allison enjoys scuba diving, vegetable gardening, yoga, hiking, spending time with her family and world travel.

Allison provides regular pro bono legal services to a local nonprofit that assists people who are victims of relationship violence, addiction, sexual exploitation and other forms of trauma in their family law matters.
