Nicole L. Pelletier



Nicole Pelletier is an insurance regulatory lawyer. Based in our nation’s capital, she advises the insurance industry on various regulatory and compliance matters — both federal and state.  Nicole has particular experience helping clients navigate changes of control, redomestications and other rearrangements within insurance holding company systems. 

Nicole provides legal counsel on the following insurance regulatory and compliance matters:

  • Form A Statements files applications for approval to acquire control of insurers in connection with acquisitions and mergers across all 50 states and D.C.; represents acquiring companies before state insurance departments, including at Form A Hearings.
  • Disclaimers files disclaimers of control in connection with passive acquisitions of “control” of insurers; represents acquiring companies before state insurance departments, with particular experience representing companies before the Indiana Department of Insurance.
  • Redomestications helps clients achieve moving insurers from one jurisdiction to another.
  • Other Holding Company Act Matters files on behalf of clients Form D Prior Notice of Affiliate Transactions, Form B Registration Statement (and amendments thereof) and Form E Competitive Impact Analysis; advises clients on compliance matters for same.
  • Licensing helps entities obtain insurer, HMO, third party administrator, and other insurance licenses; amends licenses through Uniform Certificate of Authority Application (UCAA) filings.
  • Captive Insurers counsels clients on compliance matters regarding captive insurers and assists in formation of same.
  • Examinations represents entities undergoing financial and market conduct examinations before state insurance departments, including the D.C. Department of Insurance, Securities and Banking.
  • Medicare Secondary Payer (Section 111) Reporting provides counsel on reporting obligations under Section 111 of the Medicare, Medicaid and SCHIP Extension Act of 2007; files reports with the Centers for Medicare and Medicaid Services on behalf of responsible reporting entities.
  • Insolvencies/Receiverships provides counsel on insolvency matters, including insurers in rehabilitation and liquidation.

Past Experience

During law school, Nicole worked as a legal extern with a St. Louis-based electric company and co-taught an undergraduate course on women and the law at Washington University in St. Louis. She also presented oral argument to the U.S. Court of Appeals for the Sixth Circuit on behalf of a pro bono client, resulting in a reversal of the District Court’s order and remand for further proceedings.
