Diana E. McCarthy



As the investment industry changes, investment companies rely on Diana McCarthy’s 25 years of experience to help ensure that they continue to meet their obligations under federal and state laws. Diana advises registered investment companies, investment advisers and other financial services companies on their day-to-day operations, structural issues, regulatory requirements, risk management and compliance. She also works with funds and advisers on reorganizations and with investment advisers on acquisitions and mergers. Diana advises with respect to multiple class funds, funds of funds, multimanager funds and funds serving as underlying investment vehicles for variable insurance products.

Prior to joining the firm, Diana served as law clerk for U.S. District Court Judge Raymond T. Broderick from 1993-94.

Regulatory Compliance

Diana counsels investment advisers on requirements of federal and state securities laws including:

  • Insider trading
  • Securities lending
  • Distribution in guise
  • Disclosure issues

Diana counsels fund clients and advisers on structural issues and Securities and Exchange Commission (SEC) disclosure filings, and on improvements in their oversight and controls regarding employees and operations. She has served as an independent compliance consultant to many organizations in connection with SEC enforcement actions.

Fund Governance

Diana counsels independent directors and fund boards on fiduciary governance issues such as committee structuring, service provider contract arrangements, adviser conflicts of interest and contract approval, among others.
