Greg has provided knowledge and experience to numerous initial public offerings (IPOs) and follow-on securities offerings, including offerings for technology, manufacturing, airline and transportation, national retail chain and business services companies. He has advised on high-yield and investment grade note offerings ranging from $100 million to $300 million and has handled numerous private investment in public equity (PIPE) transactions for issuers.
Mergers and Acquisitions
Greg’s transactional work spans decades and industries. He has helped close many M&A deals for a global transportation company, a national equipment rental company, an international manufacturing company and a national retail chain, among others. Gregory also represents high-tech companies in acquiring and divesting of related high-tech companies and subsidiaries.
Gregory has played an active role on the corporate side of billions of dollars of restructuring transactions on behalf of airlines, gaming organizations and logistics companies.
Other Corporate and Business Matters
Greg also counsels clients on corporate, securities and business-related matters and matters affecting corporate policy and strategy. These include:
- Directors’ duties and responsibilities and other aspects of corporate governance
- Securities law disclosure and compliance
- Equity incentive plans
- Executive employment agreements
Greg has negotiated many employment agreements on behalf of CEOs and other executives, working to achieve favorable terms. In a time of shareholder activism, he has assisted both Delaware and Nevada corporations in implementing anti-takeover defenses.
