As both an accountant and a lawyer, Thomas Gray understands tax issues from every perspective. When clients undertake transactions or investments, he navigates the complex tax laws and considerations at stake so that clients can focus on their business goals. Tom supports both domestic and offshore clients on cross-border tax matters and resolves federal, state and local tax controversies.

Transactional Tax

Tom advises on both corporate and partnership transactions, including:

  • Mergers and acquisitions
  • Reorganizations
  • Restructuring of financially troubled entities
  • Spin-offs
  • Equity and debt financings

Investment Tax

Tom counsels clients on the special tax considerations related to regulated investment companies and real estate investment trusts. His work includes:

  • Representing hedge funds on fund structuring
  • Advising on the tax consequences of investments
  • Advising private equity fund investors, including university endowments
  • Negotiating, reviewing and drafting the tax aspects of stock and asset purchase agreements, partnership agreements and credit agreements
