Overview

Kathleen Emberger’s practice focuses on advising companies on all aspects of executive compensation and benefits matters on an ongoing basis, as well as in connection with significant corporate events.

Transactional Work

Kathleen advises clients on executive compensation and benefits matters arising in significant corporate transactions, including mergers and acquisitions, carve-outs, spinoffs and initial public offerings (IPOs), and other similar corporate events.

Advisory Capabilities

Kathleen regularly advises clients on the U.S. securities rules governing executive compensation-related corporate governance and disclosure matters. She guides public companies and their compensation committees through the executive compensation piece of their annual and periodic disclosure reporting obligations, including advising on the compensation portions of companies’ annual proxy disclosure.

Executive Compensation Planning

Public and private companies, including private equity portfolio companies, look to Kathleen to help design, negotiate and draft cash-based and equity-based incentive compensation plans, as well as employment, consulting, termination, severance, change-in-control and restrictive covenant agreements. Kathleen also advises clients in connection with the related tax and securities law considerations of these arrangements.

Prior Experience

Before joining Faegre Drinker’s corporate practice, Kathleen worked as counsel at an Am Law 100 firm for more than 20 years — first as an associate, then as counsel.
