The Designated Body and the Board

Overview

Philadelphia partner Bill Clark spoke at the 2011 American Bar Association Business Law Section Spring Meeting, held April 16-17, 2011, in Boston, Mass.  The meeting provided attendees with a broad range of CLE programs devoted solely to the practice of business law.

 

Bill, a partner in the Corporate and Securities and Practice Group, spoke on the topic of "The Designated Body and the Board."  The focus of the program was on innovative ways to structure the governance of nonprofit corporations by assigning some of the functions of the board of directors to a different group of people, referred to as a "designated body."  Bill was a participant in the program because of his continuing role as Reporter for the Model Nonprofit Corporation Act, 3d Ed.
